Terms of Service
Last updated: January 7, 2026
1. Acceptance of Terms; Parties
These Terms of Service (“Terms”) constitute a legally binding agreement between you and Sindria Nexus (“we,” “us,” or “our”) governing your access to and use of sindrianexus.com (the “Site”), the Nexus Learning Academy (“Academy”), The Trust Nexus newsletter, and our professional readiness and advisory services (collectively, the “Offerings”). By accessing or using the Site, requesting Academy materials, subscribing to our communications, or engaging our services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site or the Offerings. If you act on behalf of an organization, you represent that you have authority to bind it, and that you are at least 18 years old and have capacity to enter binding agreements. "Sindria Nexus" refers to Sindria Nexus LLC, a limited liability company formed in the state of Georgia, which operates the Sindria Nexus brand.
2. Definitions
“Academy” means the Nexus Learning Academy educational resources available through the Site. “Client” means a person or entity that has engaged our professional services under a signed Engagement Letter. “Deliverables” means the reports, assessments, recommendations, and other work product we create specifically for a Client under an Engagement Letter. “Engagement Letter” means the written agreement — including accepted proposals, order forms, and statements of work — setting out the scope, timeline, fees, and terms of an engagement; once signed, it forms part of the agreement. “Site Content” means all text, videos, graphics, logos, layouts, and other materials on the Site, excluding content you provide. “Your Materials” means data, documents, systems access, and other content you provide in connection with the Offerings. “Losses” means claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from a third-party claim.
3. Description of Services
3.1 Readiness and advisory services.
Sindria Nexus is a governance, risk, and compliance (GRC) advisory practice serving growing technology companies, with particular focus on SOC 2 readiness. Services may include: (a) gap assessments — structured evaluations of your control environment against the SOC 2 Trust Services Criteria; (b) Type 1 readiness support — control design, documentation, and evidence preparation; (c) Type 2 continuity support — ongoing guidance to operate controls and stay audit-ready; and (d) advisory consultations — focused working sessions on compliance strategy, control design, vendor risk, or related topics.
3.2 Engagement-specific scope.
The definitive scope, objectives, timeline, deliverables, and fees for any engagement are those in the signed Engagement Letter. General descriptions, timelines, and pricing ranges on the Site are illustrative only and do not override the Engagement Letter.
3.3 How engagements work.
A typical engagement proceeds through scoping and signature of the Engagement Letter; kickoff; fieldwork, analysis, and drafting; review of draft Deliverables with your team; and final delivery plus closeout, including guidance on selecting and briefing an independent auditor.
3.4 No guaranteed outcomes.
Compliance outcomes depend on factors outside our control — including your implementation of recommendations and the independent judgment of auditors. We do not and cannot guarantee any particular audit result, certification, attestation, or business outcome.
3.5 Typical scope by engagement type.
Gap assessments typically include scoping, evidence requests, interviews and documentation review, control mapping, a prioritized findings report, and closeout — and exclude implementation, technical security testing, and any attestation. Type 1 readiness typically includes control design workshops, policy guidance, evidence organization, a residual-risk summary, and auditor-briefing liaison — excluding the examination itself. Type 2 continuity (retainer) typically includes recurring working sessions, evidence-collection discipline, and change-management guidance — excluding performing your controls for you. Advisory consultations are focused working sessions (commonly 60–90 minutes); written follow-ups are provided only if stated in the booking confirmation. The Engagement Letter controls in all cases.
3.6 What we never do.
In no engagement do we: issue audit opinions or assurance reports; certify compliance with any framework; perform your employees’ duties or act as your agent with third parties unless expressly agreed in writing; or provide legal advice (we are not a law firm — consult licensed counsel for legal questions).
3.7 Capacity and scheduling.
We deliberately limit concurrent engagements — typically no more than two to three active readiness engagements at a time — to preserve quality. If we are at capacity, we will tell you honestly and offer a realistic start date or a referral. Your place in our schedule is reserved when the Engagement Letter is signed and any required initial payment is received.
4. Important: We Are Not a CPA Firm
Sindria Nexus is not a certified public accounting firm, and nothing we do constitutes the practice of public accounting. We do not perform SOC 2 audits, examinations, or attestations of any kind. We do not issue SOC 2 reports (Type 1 or Type 2), audit opinions, or assurance conclusions under the AICPA’s attestation standards or any other framework. Independent SOC 2 examinations must be performed by a licensed CPA firm meeting the AICPA’s independence requirements. If you need an auditor, you must engage one separately; we can offer general guidance on what to look for and serve as a liaison during the audit at your direction, but the examination itself — and any opinion — is solely the auditor’s. Nothing on the Site, in Academy materials, newsletters, social content, or Deliverables should be construed as an audit opinion, assurance statement, certification, or guarantee of compliance. Any third-party representation that our work constitutes an audit or attestation is unauthorized and should be disregarded.
5. Educational Content and Opinions
5.1 General information, not advice. The Academy, our videos, The Trust Nexus newsletter, memos, and social media segments provide general educational information and our independent opinions. They are not legal, accounting, audit, or information-security advice tailored to your circumstances.
5.2 Do not rely on content alone. Laws, standards (including the SOC 2 Trust Services Criteria), and auditor expectations evolve. Always consult qualified professionals for advice about your organization.
5.3 Opinions are our own. Commentary and analysis represent the independent opinions of Sindria Nexus based on publicly available sources. They do not reflect the views of any client, partner, vendor, or auditor.
5.4 No client relationship from content. Reading or subscribing to our content does not create a client, advisory, or fiduciary relationship; such a relationship is formed only through a signed Engagement Letter.
6. Eligibility and Authority
The Site and Offerings are intended for business professionals acting in a business capacity. You must be at least 18 years old (or the age of majority in your jurisdiction) and you represent that all information you provide is truthful and accurate.
7. Accessing Academy Materials
7.1 Email-gated access.
Certain Academy materials are made available after you provide an email address, which we use to deliver materials, send consented educational updates, and understand aggregate readership. You represent that any address you provide belongs to you or that you are authorized to provide it.
7.2 Student and professional tracks.
The student track is available to any valid email address; the professional track (worked examples and operator-focused case studies) may require a business email address, and free consumer domains may not qualify. We may decline or revoke access where eligibility criteria are not met.
7.3 License to use Academy materials.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Academy materials for your own personal, non-commercial educational purposes. Without our prior written permission, you may not reproduce them beyond reasonable personal reference copies, distribute or publicly display them, incorporate them into commercial products or client deliverables, or systematically download the library. For broader rights (for example, internal training use), contact contact@sindrianexus.com.
7.4 Updates to materials.
We may update, revise, or retire Academy materials at any time; no particular title is guaranteed to remain available.
8. Fees, Invoicing, and Payment
8.1 How fees are set.
Fees are set out in the applicable Engagement Letter — not on the Site. Pricing information on the Site is illustrative only and does not constitute an offer or a cap.
8.2 Payment structure.
Unless the Engagement Letter states otherwise: assessment fees are commonly payable in full before work begins or in installments tied to milestones; readiness engagements are commonly billed half in advance with the balance due on delivery of final Deliverables; retainers are billed in advance of each period; and advisory consultations are payable at booking. Invoices are payable within the period stated in the Engagement Letter (or within fifteen days if none is stated). All fees are quoted in U.S. dollars and exclusive of applicable taxes.
8.3 Late payment.
Overdue amounts may bear interest at the lesser of 1.5% per month or the maximum rate permitted by law. We may pause work on engagements with an overdue balance until the account is current; timelines extend day-for-day for any such pause.
8.4 Refunds and credits.
Fees are non-refundable once earned through performance. If an engagement is terminated early, fees for work performed through the termination date remain due. Prepaid amounts for retainer periods or milestones not yet commenced are refunded as described in the Engagement Letter.
8.5 Fee disputes.
Dispute an invoiced amount in good faith by notifying us in writing within fifteen (15) days of the invoice date, describing the basis in reasonable detail. Undisputed portions must be paid on time.
9. Client Responsibilities
As a Client, you agree to: (a) provide accurate, complete, and timely information, documentation, and systems access reasonably requested; (b) designate a primary contact with decision-making authority; (c) review drafts and provide consolidated feedback within the timeframes in the Engagement Letter (or ten business days if none is stated); (d) obtain any third-party consents needed for us to access your systems or data; (e) implement (or consciously decline) our recommendations through your own personnel — implementation is your responsibility unless the Engagement Letter says otherwise; and (f) inform us promptly of material changes to your systems, personnel, vendors, or control environment. Delays or omissions attributable to you may affect timelines, fees, and the utility of Deliverables.
10. Project Timelines and Changes in Scope
10.1 Estimates. Timelines in proposals and Engagement Letters are good-faith estimates based on stated assumptions, including your timely cooperation under Section 9.
10.2 Extensions. Timelines extend day-for-day for Client-caused delays, requested scope changes, and force majeure events (Section 21).
10.3 Change requests. Additional work proceeds only after your written approval of the change, its timeline impact, and any additional fees.
11. Confidentiality
11.1 Mutual obligations. Each party (“Recipient”) agrees to hold in confidence all non-public business, technical, financial, security, and personnel information disclosed by the other party (“Discloser”), not to disclose it except as permitted below, and to use it solely to perform under these Terms and any Engagement Letter. Our Deliverables for a Client are the Client’s Confidential Information; our methodologies, templates, and know-how remain ours (Section 12).
11.2 Exceptions. Confidential Information excludes information that: is or becomes publicly available through no breach by Recipient; was already known to Recipient without a duty of confidence; is independently developed without reference to it; or is rightfully received from a third party without a duty of confidence.
11.3 Permitted disclosures. Recipient may disclose to employees, contractors, and advisors who need to know and are bound by equivalent confidentiality obligations, and as required by law or court order — with prompt written notice to Discloser where legally permitted and disclosure of only the minimum legally required.
11.4 Standard of care; return of materials. Recipient will protect Confidential Information with at least reasonable care. Upon termination or Discloser’s request, Recipient will return or securely destroy it, subject to ordinary backups and legal-retention obligations.
11.5 Duration and remedies. Obligations survive disclosure for three (3) years, except for trade secrets, which survive as long as they remain trade secrets. Breach may cause irreparable harm for which the Discloser may seek injunctive relief in addition to other remedies.
12. Intellectual Property
12.1 Ownership of Site Content. All Site Content — including text, videos, graphics, the Sindria Nexus name and rose emblem, Academy materials, layouts, and software — is owned by Sindria Nexus or its licensors and protected by intellectual property laws. All rights not expressly granted are reserved.
12.2 Limited license. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access the Site and use Academy materials for personal, non-commercial educational purposes (Section 7). You may not reproduce Site Content beyond reasonable personal reference copies, distribute or publicly display it, create derivative works, remove proprietary notices, or systematically extract it with automated means. For broader licensing, contact contact@sindrianexus.com.
12.3 Your Materials. Your Materials remain yours. You grant us a non-exclusive, worldwide, royalty-free license to use them solely as necessary to provide the Offerings you requested.
12.4 Deliverables. Upon full payment, we grant you a non-exclusive, non-transferable, perpetual license to use the Deliverables created for you for your internal business purposes, including providing them to your auditors and regulators. We retain ownership of our pre-existing methodologies, frameworks, templates, tools, and know-how incorporated into Deliverables.
12.5 Feedback. Suggestions or ideas you provide may be used by us without restriction, attribution, or compensation.
12.6 Trademarks. The Sindria Nexus name, rose emblem, and related marks are trademarks or trade dress of Sindria Nexus; do not use them without prior written permission except for truthful nominative references permitted by law.
12.7 Copyright complaints. To report alleged infringement, email contact@sindrianexus.com identifying the copyrighted work, the infringing material and its location, your contact information, and statements of good-faith belief and accuracy under penalty of perjury, with your signature.
12.8 Residual knowledge. Nothing prevents us from using general knowledge, skills, and methodologies of a general nature developed in the course of providing services, provided we do not disclose your Confidential Information or infringe your IP rights.
13. Acceptable Use
You agree not to, and not to permit any third party to:
- Use the Site or Offerings for any unlawful purpose or in violation of any law or third-party right;
- Attempt unauthorized access to the Site, our systems, or data, or breach security or access-control measures;
- Interfere with the integrity or performance of the Site, including by transmitting malicious code or imposing unreasonable load;
- Scrape, harvest, or systematically collect Site Content or others’ Personal Information, except within the licenses in Section 12;
- Republish, resell, or pass off Academy materials or Site Content as your own, or use them to create a competing educational product;
- Upload spam, unsolicited communications, or unlawful, defamatory, or infringing content through Site forms;
- Misrepresent your identity, affiliation, or authority;
- Use the Offerings to develop a directly competing compliance-readiness service built substantially from our proprietary methodologies; or
- Encourage or enable any of the above. We may investigate suspected violations and may suspend or terminate access, remove content, or refer matters to law enforcement, in our reasonable discretion and as permitted by law.
14. Third-Party Services, Tools, and Links
14.1 References are informational. References or links to third-party products, services, frameworks, or resources — for example, GRC software platforms, auditor directories, or regulatory publications — do not constitute endorsement, and we make no representations about third-party offerings. Your dealings with third parties are solely between you and them.
14.2 Auditors are your responsibility. Selecting and engaging an independent CPA firm for any SOC 2 examination is entirely your responsibility. We may offer general, non-binding guidance, but we do not warrant any firm’s qualifications, independence, availability, or pricing.
14.3 Outbound links. We do not control and are not responsible for third-party sites’ content, privacy practices, or terms.
14.4 Our service providers. The Site is operated using the following service providers: Lovable (website hosting platform and aggregate visit analytics), Supabase (database hosting for form submissions), Resend (transactional email delivery), and Cloudflare (security and content delivery via the hosting infrastructure). See our Privacy Policy for how information is handled by these providers.
15. Independent Contractor; No Employment or Partnership
Sindria Nexus provides services as an independent contractor. Nothing in these Terms or any Engagement Letter creates an employment, partnership, joint venture, or agency relationship. Neither party has authority to bind the other.
16. Disclaimers
THE SITE, SITE CONTENT, ACADEMY MATERIALS, NEWSLETTERS, SOCIAL CONTENT, AND PROFESSIONAL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (a) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (b) EDUCATIONAL CONTENT IS COMPLETE, ACCURATE, CURRENT, OR SUITABLE FOR YOUR PURPOSES; (c) DEFECTS WILL BE CORRECTED; (d) THE SITE IS FREE OF HARMFUL COMPONENTS; OR (e) OUR READINESS SERVICES WILL RESULT IN ANY PARTICULAR AUDIT OUTCOME, CERTIFICATION, OR BUSINESS RESULT. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SITE AND SERVICES. Some jurisdictions do not allow the exclusion of implied warranties, so some exclusions may not apply to you; in such cases our warranties are limited to the greatest extent permitted by law.
17. Limitation of Liability
17.1 Exclusion of consequential and similar damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SINDRIA NEXUS, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR RELATED TO THE SITE, SITE CONTENT, OR SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
17.2 Cap on direct damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT FIRST GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY AMOUNTS TO US (FOR EXAMPLE, YOU USED ONLY FREE ACADEMY RESOURCES), OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
17.3 Exceptions. Nothing in this Section limits liability that cannot be limited by law, including liability for fraud, willful misconduct, or (where non-waivable) gross negligence.
17.4 Time limit on claims. Any claim arising out of these Terms must be commenced within three (3) months after the claimant knew or should have known of the facts giving rise to the claim, or it is permanently barred, except where a longer period is required by law.
18. Indemnification
18.1 Your indemnity. You agree to defend, indemnify, and hold harmless Sindria Nexus and its owners, officers, employees, contractors, and agents from third-party claims arising out of or related to: (a) your use of the Site or services; (b) Your Materials or content you submit; (c) your violation of these Terms or any Engagement Letter; (d) your violation of any law; or (e) your infringement of any third-party right.
18.2 Our indemnity. We agree to defend, indemnify, and hold you harmless from third-party claims alleging that Site Content we created infringes a third party’s intellectual property rights, subject to the limitations in Section 17.
18.3 Procedure. The indemnified party will give prompt written notice of any claim, and the indemnifying party will control the defense and settlement with counsel reasonably acceptable to the indemnified party. No settlement imposing obligations on the indemnified party (other than payment fully covered by the indemnifying party) will be entered without its prior written consent.
19. Term and Termination
19.1 Site access. These Terms remain in effect while you access the Site. We may suspend or terminate your access at any time, with or without notice, for violations, harm, or operational reasons.
19.2 Service engagements. Each engagement begins on its Engagement Letter’s effective date and continues until completion or termination as provided there. Absent contrary terms, either party may terminate: (a) for convenience upon thirty (30) days’ prior written notice; or (b) for material breach uncured fifteen (15) days after written notice.
19.3 Effect of termination. Licenses to Site Content end; outstanding fees for work performed become immediately due; each party returns or destroys the other’s Confidential Information per Section 11; and Sections 4 (as to completed work), 5, 11, 12, 15, 16, 17, 18, 20, 21, 22, and 23 survive.
20. Governing Law and Dispute Resolution
20.1 Governing law. These Terms, and any dispute arising out of or relating to them, the Site, or the services, are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles, and applicable federal law of the United States.
20.2 Good-faith negotiation. Before any formal proceeding, the disputing party will give written notice describing the dispute, and the parties will attempt good-faith negotiation for at least thirty (30) days.
20.3 Binding arbitration. Except for the carve-outs in Section 20.5, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Academy, or the services — including their formation, interpretation, breach, or termination — will be resolved exclusively by binding arbitration administered by JAMS (or, if JAMS is unavailable, the American Arbitration Association) under its Commercial Arbitration Rules then in effect. There will be no judge or jury; the arbitrator's decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
20.4 Arbitration procedures; privacy. The arbitration will be conducted by a single neutral arbitrator mutually agreed by the parties (or, failing agreement, appointed under the administrator's rules), seated in Fulton County, Georgia. The proceedings, submissions, and the award are private and confidential: neither party will disclose them except as required by law, to enforce the award, or to its attorneys, accountants, or other advisors bound by confidentiality. The arbitrator may grant any relief a court could grant, subject to the limitations in Section 17. Each party bears its own attorneys' fees and arbitration costs, and the parties share the administrator's and arbitrator's fees equally, subject to Section 20.7 and any reallocation the arbitrator orders.
20.5 Carve-outs. Nothing prevents either party from seeking interim or injunctive relief from any court of competent jurisdiction, bringing qualifying small-claims actions on an individual basis, or reporting unlawful conduct to authorities.
20.6 Jury and class waivers. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY, and any proceedings will be conducted on an individual basis — not as a class, collective, or representative proceeding — to the extent permitted by law.
20.7 Prevailing party. In any action to enforce these Terms, the prevailing party is entitled to recover reasonable attorneys’ fees and costs.
21. Force Majeure
Neither party is liable for failure or delay (other than payment of money due) caused by events beyond its reasonable control, including natural disasters, wars, terrorism, labor disruptions, failures of internet, power, hosting, or telecommunications infrastructure, cyberattacks on third-party infrastructure, or governmental actions. The affected party will give prompt notice, use reasonable efforts to mitigate and resume performance, and if the event continues more than sixty (60) days, either party may terminate the affected engagement. Payment obligations for work performed are not excused.
22. Notices and Electronic Communications
22.1 Notices. All notices under these Terms must be in writing and are deemed given: when delivered personally; one business day after reputable overnight courier; three business days after certified mail; or when sent by email with confirmed receipt. Notices to us go to contact@sindrianexus.com (with a physical copy for legal notices such as termination or disputes).
22.2 Electronic communications consent. By using the Site or providing an email address, you consent to receive communications electronically and agree they satisfy any requirement that communications be in writing.
23. Assignment; Change of Control
You may not assign these Terms or any Engagement Letter without our prior written consent, not to be unreasonably withheld. We may assign in connection with a merger, acquisition, reorganization, or sale of substantially all our assets, upon notice to you. These Terms bind and benefit the parties and their permitted successors and assigns.
24. Interpretation; Severability; Waiver; Entire Agreement
Headings are for convenience only. “Including” means “including without limitation.” If any provision is held invalid or unenforceable, it will be reformed to the minimum extent necessary (or severed), and the rest continues in full force. No failure to exercise a right operates as a waiver; waivers must be written and signed. These Terms, together with the Privacy Policy and any signed Engagement Letter, constitute the entire agreement regarding the Site and services, superseding prior discussions and proposals. For professional services, conflicts resolve in this order: (1) the Engagement Letter; (2) these Terms; (3) the Privacy Policy.
25. Changes to These Terms
We may revise these Terms from time to time. We will post updated Terms on the Site and revise the “Last Updated” date, with additional notice (for example, a Site notice or email) at least fourteen (14) days before material changes take effect, where feasible. Continued use after the effective date constitutes acceptance. Revisions do not retroactively alter completed engagements or accrued rights.
26. Publicity and References
Neither party will publicly identify the other as a client, vendor, or partner — including in marketing materials, case studies, or social media — without the other party’s prior written consent. With a Client’s prior written consent and right of review, we may prepare an anonymized or attributed case study in general terms.
27. Subcontractors
We may engage qualified subcontractors to assist in delivering services (for example, evidence collection or coordination under our direction). We remain fully responsible for their work as if performed by us, including confidentiality obligations. Subcontractors with access to your Confidential Information are bound by written confidentiality obligations at least as protective as Section 11.
28. Mutual Non-Solicitation
During any active engagement and for six (6) months thereafter, neither party will directly solicit for employment the other party’s personnel who were materially involved in the engagement, without prior written consent. This does not restrict general advertisements or hiring through unsolicited applications in response to general postings. The parties acknowledge this restraint is reasonable to protect their respective teams and client relationships.
29. Language and Export Compliance
Language. These Terms, the Privacy Policy, and all Engagement Letters are drafted in English; the English version controls. Accessibility. If you encounter an accessibility barrier on the Site, contact contact@sindrianexus.com and we will make reasonable efforts to address it. Export and sanctions compliance. You represent that you are not located in a jurisdiction subject to comprehensive U.S. economic sanctions or on any U.S. government restricted-party list, and agree to comply with applicable export control and sanctions laws.
